Principle and conditions

The changes apply to:

  • A change of head office
  • A change of manager or his or her address
  • A change of name
  • A change in the purpose of the company
  • The dissolution of the company
  • A change in the duration
  • A change in the capital assets of the company
  • Merging all the parts or shares together under a single stakeholder

Obtaining and completing the form

To get this form, you can either:

  • Collect it from the Business Development Agency

Collating the documents

You must provide the following documents:

  • Three copies of the completed "Demande d'inscription modificative" form
  • Proof of identity of the manager(s) and, if relevant, their official representative, who must also provide all the documents giving proof of this capacity: 
    • In the case of a natural person, an extract from their birth or marriage certificate or a copy of an ID card, residence permit or passport
    • In the case of a legal entity, an extract from the registration document with the directory of trade and industry or an equivalent document in the case of a foreign company, or, for Monegasque Non-Trading Companies, a certificate of registration with the directory of real estate holding partnerships
    • For a natural person representing a legal entity, if he or she is not shown on the extract from the registration certificate of the company, proof of identity must be attached (an extract from their birth or marriage certificate or a copy of an ID card, residence permit or passport) and, if relevant, a copy of the decision designating him or her in this capacity, translated into French if applicable (except when changing the manager's address)
  • The minutes of the members' Assembly, duly registered with the Department of Tax Services (except when changing the manager's address)
  • The notarial or private deed showing the statutory change
  • In the case of merging all the parts or shares together under a single stakeholder, the deed of transfer of shares or of donation

Sending off or delivering your application

All of the documents, including three signed and dated completed copies of the form, in addition to the supporting evidence, are submitted or sent off to the Non-trading Companies Special Registry of the Business Development Agency. 

You will have to pay fees of 15 euros for changing the details of the registration, by cheque made payable to the RCI or in cash at the service counter.

In addition to these fees, you should allow for postage costs if the documents are sent by post – copy of the changes to the registration.
